Comprehensive and accurate guide to private equity transactions and thinking. For those who are already in PE, this is a useful toolkit reminder covering a wide variety of situations and an interesting perspective to compare with personal experience.

For any future editions, I suggest more coverage of portfolio company management, including the many ways things can go wrong. More depth would be useful on the often delicate balance of proper board governance, management autonomy vs micromanaging the managers, navigating politics of founders vs professionals, and other challenging circumstances of value creation which are the majority of a PE professional's time. Another area where PE professionals spend a huge amount of time is fundraising and LP relations. While this book occasionally brought up issues with LP priorities, DPI, etc, the content does not match how much time is actually spent on this area in real life and how important it is for the existence of a PE fund.

A great survey of all the subjects a deal team considers. Topics include deal sourcing, value creation drivers, valuation, deal structuring, due diligence, key legal documents, exit strategies, and more. While there is a plethora of book on these subjects, I have yet to read anything that brings it all together in such a practical, and easy-to-read way.

This is the best starter manual for private equity I’ve read. It’s approachable yet insightful and dense enough to learn something. This will be a go-to recommendation for anyone early in their PE career (or later but in need of a solid refresher) or wanting to learn the what and how of the business.

Thanks to Grant McClure for the recommendation!
